Great uh agenda item number three recognition of public comment: um is there anyone on the call wishing to address the board today.

Okay, hearing none I'll move on to item number four, which is old business; approval of agreement with the city of Inglewood for dissolution assumption, indemnification um and Michelle. This is the final another worth a few back and forth, but this is the final one that was reviewed by our attorney. Is that correct.

Great exactly so, I don't know if you saw any of that Christina, but um our attorney Mike Miller did review. It um spoke to the City attorney um Mike. Actually, just called me: I, don't know if he was Michelle. Do you know if he was planning on attending this or.

Yeah he told me he was he just sent me an email. Let me see.

Yeah he called my desk line just like just now, as I was talking and I didn't see, it.

Oh no I'm, sorry to hear that Mike hope everything works out. um Christina. Are you able to hear Mike? Yes, all right! Well, really hope everything works out for you and your daughter, Mike and thanks for taking the time we're modern.

I, do yeah well it'll, be pretty quick because we're on this agenda item so right, yeah. Is there anything you want to share with the board before we vote.

Revealed a couple of things number one: there is no liability for the directors in adopting this agreement, so there's there's no reason not to adopt it in terms of the indemnity, uh while I would have preferred that we don't have an Indemnity uh camera uh advised me that the Englewood code has a provision that requires in order for anyone to accept a property, it must uh obtain an environmental Indemnity. uh The fact of the matter is the only one who would be obligated under this.

Indemnity would be the city itself it's circular, but in order not to throw sand in the wheel, I suggest that we just adopt the agreement as written.

Okay, well Jackie couldn't couldn't make it today, so it's just Christina and I. So I don't have any questions for you Mike, because I I saw your emails with Tamara, but Christina. Do you have any questions before we vote I.

uh Motion by consider the chair motion carries with two being present uh and two voice votes. So thank uh thank you, Tamara for all your work on this. Thank you Mike um for your work and your review of it um and yeah. So it's been approved, say, congratulations, Tamara, one big one, big step.

Thank you and I'll uh I was getting ready to send a report to city council I, send them a monthly report and I will include this they'll be very happy.
